Max India Limited was originally incorporated as “Advaita Allied Health Services Limited” on January 23, 2019 as an unlisted public company under the Companies Act, 2013, within the jurisdiction of the Registrar of Companies, Mumbai, Maharashtra and obtained a fresh certificate of incorporation on July 1, 2020, subsequent to the change of its name, pursuant to the Composite Scheme of Amalgamation and Arrangement amongst Erstwhile Max India Limited, Max Healthcare Institute Limited, Radiant Life Care Private Limited and Max India Limited (formerly known as Advaita Allied Health Services Limited) and their respective shareholders and creditors under sections 230 to 232 read with other applicable provisions of the Companies Act, 2013(Scheme), approved by the Hon’ble NCLT, Mumbai vide its Order dated January 17, 2020. Prior to the Scheme becoming effective, the Company did not carry out any activity. Upon the Scheme becoming effective and with effect from the Appointed Date (i.e. February 1, 2019), all the present and future assets and liabilities of the Demerged Undertaking 1 (as defined in the Scheme), and the entire business of the Demerged Undertaking 1, together with all its properties, assets, rights, benefits and interest therein, stood transferred to and vested in the Company.
